Acceptance of Terms
By accessing or using the Kazam website and services, you agree to be bound by these Terms of Service. If you do not agree to these terms, you must not use our services.
These terms constitute a legally binding agreement between you (or the entity you represent) and Kazam Pty Ltd (ABN pending).
Services
Kazam provides done-for-you tracking infrastructure services for digital advertisers, including:
- The Audit: A comprehensive analysis of your tracking infrastructure across 8 dimensions, producing a Tracking Health Score.
- The Setup: Full implementation of tracking infrastructure including pixels, server-side events, CRM connections, and offline conversion imports.
- The Retainer: Ongoing monitoring, maintenance, and optimisation of your tracking infrastructure via The Crystal Ball dashboard.
Specific deliverables, timelines, and scope are defined in your individual service agreement or statement of work.
Payment Terms
Payment terms are as follows unless otherwise specified in your service agreement:
- The Audit is provided free of charge with no obligation
- Setup projects are invoiced 50% upfront and 50% on completion
- Retainer services are invoiced monthly in advance
- All invoices are payable within 14 days of issue
- Prices are quoted in Australian Dollars (AUD) and are exclusive of GST
Late payments may incur interest at a rate of 2% per month on the outstanding balance.
Intellectual Property
Upon full payment, you own all tracking configurations, custom code, and documentation created specifically for your project. This includes:
- Pixel and event configurations deployed to your accounts
- Custom server-side tracking implementations
- CRM integration workflows built for your platforms
Kazam retains ownership of proprietary tools, methodologies, templates, and The Crystal Ball platform software. You are granted a non-exclusive license to use these tools for the duration of your service agreement.
Limitation of Liability
To the maximum extent permitted by law, Kazam's total liability for any claim arising from or related to our services is limited to the total fees paid by you in the 12 months preceding the claim.
Kazam is not liable for indirect, incidental, consequential, or punitive damages, including lost profits, lost data, or business interruption, regardless of the theory of liability.
Tracking infrastructure depends on third-party platforms (Google, Meta, TikTok, etc.) that may change their APIs, policies, or functionality without notice. Kazam is not liable for service disruptions caused by third-party platform changes.
Termination
Either party may terminate an ongoing service agreement with 30 days written notice. Upon termination:
- All outstanding invoices become immediately payable
- Kazam will provide reasonable transition assistance for 14 days
- Access to The Crystal Ball dashboard will be revoked at end of the notice period
- Your tracking configurations remain in place on your own platforms
Kazam reserves the right to terminate services immediately if you breach these terms or fail to pay invoices within 30 days of their due date.
Governing Law
These terms are governed by the laws of the State of Queensland, Australia. Any disputes arising from these terms or our services will be subject to the exclusive jurisdiction of the courts of Queensland.
Before commencing legal proceedings, both parties agree to attempt resolution through good-faith negotiation for a minimum of 30 days.
